Brent’s practice primarily focuses on mergers and acquisitions (M&A) and other corporate transactions, including acquisition financing, capital markets issues, alternative entity and fund formation, business negotiations and strategic partnering transactions. Known for his organizational and project management skills, his steadiness under pressure and his ability to quickly analyze and understand a complex set of facts and applicable law, skills he developed while clerking at the nation’s preeminent forum for corporate and commercial disputes, Brent provides practical and informed counsel to privately-held middle market companies, family-owned businesses, founders and private equity funds for their buy-side and sell-side transactions ranging in size from $1 million to over $1 billion, and stretching across multiple industries. Brent also has worked on a number of deals involving representations and warranties insurance (RWI).
Inspired to provide the best quality counsel for his business and entrepreneurial clients, Brent earned his Master of Business Administration at the same time he studied law. In practice, his education has allowed him to apply an interdisciplinary approach when resolving legal and business challenges. Before joining the firm, Brent clerked for Vice Chancellor Joseph R. Slights III of the Delaware Court of Chancery and President Judge Jan R. Jurden of the Delaware Superior Court. While attending Virginia Tech as an undergraduate, Brent served as Student Government President. He remains active in the Hokie community and serves as a member on the University’s Young Alumni Board.

When he’s not coaching Hokie sports teams to victory, Brent can be found hiking with his wife and dogs, exploring craft breweries, kicking back to live music, cheering on his wife in dressage exhibitions or exploring new places and cultures during his travels. Italy, Kiawah Island, Senegal and Key West are among his favorite destinations. Brent is a proud collector of vinyl records, books and board games, with an affinity for first pressings and editions.
