Steven delivers innovative legal advice to private companies and investors. He advises clients on formation and choice of entity decisions, capital raises and structuring, tax compliance, and mergers and acquisitions. His guidance is practical, yet flexible–tailored to each client’s unique objectives.
When serving as outside general counsel, Steven focuses on the full array of contract matters, including NDAs, vendor and joint venture agreements, and employment matters. Using a "big picture" approach, he regularly advises on shareholder and operating agreements, board of directors and management structuring, and debt or equity investment opportunities. When assisting with mergers and acquisitions and alternative exit strategies, Steven takes a 360 view of each transaction to ensure maximum value for key stakeholders.
While studying at the University of Virginia School of Law, Steven was a senior articles editor for the Virginia Tax Review, a member of the Virginia Law & Business Society (VLBS), and served as a site supervisor and tax preparer for the Volunteer Income Tax Assistance (VITA) program. He was honored with the Dean’s Scholarship.
Structured a complex alternative investment arrangement using a combination of debt and equity to effect a shareholder stock redemption and capital raise for an online ticket broker.
Represented the lead investor in a recent seed round offering of convertible promissory notes in a Richmond, VA based start-up company.
Represented a company in its multimillion dollar Series C capital raise, which was preceded by representation of the company’s convertible note round.
Formed a series of limited liability companies to facilitate real estate investments and advised investors and members on various economic and management terms ultimately incorporated into the companies’ operating agreements.
Negotiated a major exclusive distribution agreement in the sports and entertainment industry.
Reviewed and negotiated multiple supplier and vendor agreements for a large medical practice.
Drafted instruments to facilitate issuing private loans to real estate developers and to support the lender’s capital raises.
Facilitated expansion of a non-profit’s charitable gaming activities and ensured compliance with applicable federal tax law and state gambling laws. Assisted with the conversion of an organization’s 501(c) tax-exempt status.
Designed an effective executive compensation arrangement for owners/executives, incorporating an equity incentive plan, profits interests and vesting strategies.
Represented a private equity sponsored buyer in strategic acquisitions of synergistic companies, ranging from $500,000 to $365,000,000.
Represented a local small business in the acquisition of a competitor for $2,300,000.
Represented a seller in a business combination, involving a sale of the company and rollover investment.

Beyond the practice of law, Steven enjoys spending time with his wife and two young sons. On the weekends, you might find the Skaist family in the park, hiking or reading books.
Prior to entering law school, Steven taught Talmud and Jewish law for a secondary school in New York. He also contributed blog content for Yeshiva University’s Bernard School of Jewish Studies and led a publication team as Guest Editor-in-Chief for the Talmudic Journal of Yeshiva of Virginia. Now, Steven enjoys furthering his studies in Jewish law and its intersection with his current legal practice.
