Tristan advises infrastructure, utility, and private equity clients on middle-market mergers and acquisitions, with a focus on transactions in regulated industries such as energy and renewables. He works closely with clients throughout the deal lifecycle, from structuring and diligence through negotiation and closing, with an emphasis on timing, risk allocation, and business objectives.

Tristan is a key member of deal teams, helping drive transactions forward by coordinating across counterparties, advisors, and internal stakeholders. He brings a practical, solutions-oriented approach to complex transactions, including stock and asset acquisitions, corporate governance matters, and the negotiation of key deal documents.

He has a longstanding interest in the intersection of business and government, which began during high school when he served as a United States Senate Page. Drawing on that background, he helps clients navigate legislative and regulatory-driven development initiatives, particularly in the energy and infrastructure sectors.

Prior to joining Hirschler, Tristan practiced at McGuireWoods LLP, where he advised clients on complex transactions and regulatory-driven initiatives. He also served as a judicial intern to the Honorable Henry E. Hudson of the U.S. District Court for the Eastern District of Virginia.

Experience

Experience

  • Represented a regulated electric utility in multiple acquisitions of utility-scale solar projects, including coordinating diligence across real estate, environmental, and permitting workstreams and supporting transaction structuring and execution.
  • Supported a large-scale electric school bus program involving multiple counterparties, including school districts and financing participants, with work focused on transaction documentation, program consistency, and regulatory considerations tied to federal incentives.
  • Assisted in connection with a major offshore wind project (approximately 2.6 GW), including transaction support and coordination across project stakeholders.
  • Advised on corporate structuring and governance matters for energy and infrastructure-related entities, including entity formation and ongoing compliance considerations.
  • Experience working alongside regulatory, environmental, and tax specialists to navigate approvals, permitting, and incentive-driven deal considerations, including matters influenced by federal and state energy policy.
  • Experience monitoring and analyzing legislative and regulatory developments impacting the energy sector, including work tied to federal incentive programs and state-level utility regulation.
